1. Introduction
These Terms of Service ("Terms") govern your use of the TRADECARD LTD ("TradeCard", "we", "us", "our") website, mobile app, and services (collectively, the "Service").
By accessing or using TradeCard, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Use License
2.1 Permitted Use
We grant you a limited, non-exclusive, revocable license to use the Service for personal, non-commercial purposes only:
- Uploading and checking your own payslips and documents
- Viewing your pay history and derived facts
- Accessing market rate information
- Opting into aggregation for rate/hirer facts
2.2 Prohibited Conduct
You may not:
- Scrape, crawl, or automate access to the Service
- Reverse-engineer or attempt to derive algorithms, models, or extraction logic
- Upload documents you do not own
- Upload documents on behalf of others without explicit authorization
- Use the Service to compete with TradeCard
- Access another user's data without consent
- Transmit malware, spam, or harmful content
- Violate applicable laws or regulations
2.3 Enforcement
Breach of this clause results in immediate suspension and may result in legal action.
3. Content and Document Ownership
3.1 Your Documents
You retain full ownership of all documents (payslips, PDFs, images) you upload. We do not claim ownership.
3.2 Our Use
By uploading, you grant TradeCard a limited license to:
- Extract and analyze the document for accuracy checking
- Retain a temporary encrypted copy for re-verification (24 hours default)
- Include anonymized figures in rate and hirer aggregations (if you have granted "aggregates" consent)
- Display the verdict and findings to you
3.3 Deletion
You can delete documents from your account at any time. Once deleted, they are removed from the processing pipeline. Aggregated facts persist (you are anonymized in the aggregate) unless you withdraw aggregation consent, after which you are excluded from the next build.
4. Accuracy and Liability for Checks
4.1 No Guarantee of Accuracy
The pay check analysis is provided on an "as is, as available" basis. We do not warrant that:
- The engine correctly identifies all underpayment
- Every extracted figure is accurate (extractions may require manual verification)
- Every rule applies to your employment contract
4.2 Your Responsibility
You are responsible for:
- Verifying the accuracy of extracted data
- Checking that deductions and conclusions align with your contract and payslips
- Raising disputes with your employer directly or via a professional advisor
- Seeking legal advice if you believe you have been underpaid
4.3 Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any financial loss, lost earnings, or missed statutory claims arising from your reliance on our checks
- We are not liable for any indirect, incidental, consequential, or punitive damages
- Our total liability to you is limited to the fees you paid us in the 12 months prior
This clause shall not exclude or limit liability for death, personal injury, fraud, or breaches of statutory consumer rights.

We are not a legal, tax, or accounting firm. Our checks are informational only. For tax or legal questions, consult a qualified professional.
5. Subscription and Billing
5.1 Plus Tier
- Cost: £2.99/month or £29/year (GBP, VAT included)
- Features: We'll update this notice before public launch.
- Cancellation: anytime via
/account/billing; no refunds for partial months
5.2 Payment
- Processed via Stripe (stripe.com)
- You authorize recurring charges; refunds must be requested within 30 days of charge

5.3 Free Tier
- Your first check is always free
- The free tier includes limited subsequent checks (details on the pricing page)
6. Content Standards and Moderation
6.1 User-Generated Content (Hirer Claims and Replies)
Hirers may make claims and post replies on their organization pages. All content must comply with these Standards:
- No personal data about individual workers
- No identifiable information about individuals
- No legal threats or defamatory statements
- No marketing or promotional links
- Factual statements and context only
6.2 Moderation
We review replies before publication. We may reject or edit content that violates these standards. Rejection reasons are provided to the hirer.

7. Hirer Facts and Transparency
7.1 Aggregate Data Publication
TradeCard publishes anonymized aggregate facts about employment practices, rates, and pay timeliness. These facts are derived from members' documents and member-granted consent.
7.2 Sample Size Thresholds
No fact is published unless it is based on:
- At least k documents (10–20 depending on metric)
- At least k members (10–20)
- Figures are rounded to prevent inference

7.3 Hirer Right of Reply
Any organization (claimed or unclaimed) can:
- File a reply on their public page
- Dispute a published fact
- Request correction or removal
Reviews are completed within 10 working days. See docs/legal/HIRER_FACTS_DEFAMATION_NOTE.md for legal posture.
8. Disclaimers
8.1 "As Is, As Available"
The Service is provided on an "as is, as available" basis without warranties, express or implied. We do not warrant that:
- The Service will be uninterrupted or error-free
- The Service will meet your expectations
- Defects will be corrected
8.2 Third-Party Services
We integrate third parties (Twilio for SMS/WhatsApp, Anthropic for extraction, Stripe for payments, etc.). We are not responsible for their outages, data practices, or liability.

10. Intellectual Property
10.1 Our IP
All TradeCard materials—brand, design, code, algorithms, and content—are our intellectual property unless otherwise stated.
10.2 Your Rights
You retain all rights to documents you upload. You grant us a limited license as described in clause 3.
10.3 No License
Use of the Service does not grant you any right to TradeCard's IP. You may not copy, modify, or reuse our IP without written permission.
11. Termination and Suspension
11.1 Termination by You
You may delete your account at /account/delete. Your account is soft-deleted immediately and hard-deleted after 30 days. Documents are removed from production; an audit line is kept for 6 years.
11.2 Termination by Us
We may suspend or terminate your account if you:
- Breach these Terms (especially clause 2.2 or 6.1)
- Engage in fraud or illegal activity
- Repeatedly abuse the Service
Suspension is without liability except where we owe you a refund for prepaid services.
11.3 Effect of Termination
Upon termination, your license ends; you lose access; your documents are deleted per 11.1; your data is handled per our Privacy Notice.
12. Indemnification
You agree to indemnify and hold harmless TradeCard, its officers, directors, and employees from any claim, liability, damage, or cost (including legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Your violation of law
- Your documents or content
This clause does not apply to claims arising from our negligence or willful misconduct.
13. Dispute Resolution
13.1 Informal Resolution
If you have a complaint, contact us at hello@gettradecard.com within 30 days. We will attempt to resolve the dispute.
13.2 Formal Resolution
We'll update this notice before public launch.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
15. Severability
If any clause is found to be unenforceable, the remaining clauses shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Notice and the pay check methodology (docs/spec/04_PAY_CHECK_ENGINE.md), constitute the entire agreement between you and TradeCard and supersede all prior negotiations, agreements, and understandings.
17. Changes to These Terms
We may update these Terms at any time by posting an updated version on the website. Your continued use constitutes acceptance of the new Terms. Material changes will be notified via email.
